Good to know

  • A share transfer is an internal corporate act. It is recorded in your minute book and share register rather than filed with a registry.
  • Your share certificates and share register should be updated to match. A signed agreement with an unchanged register is the gap buyers and lenders find.
  • If the transfer changes who your directors or officers are, that is a separate filing. See notice of change.
  • Share transfers can carry tax consequences. Speak to your accountant about valuation and timing before signing.

Share transfer FAQ

Do I have to tell the government?

Not usually. Shareholders are generally not recorded on the public register the way directors and officers are, so the transfer lives in your corporate records. What does have to be filed is any change to directors or officers that follows from it.

Can I transfer shares to anyone?

Not always. Many corporations have restrictions on the transfer of shares written into their articles, commonly requiring the directors to approve. Check your articles first. If the restriction no longer suits you, it can be changed with an amendment to your articles.

What else should be updated?

The share register and the share certificates, so the corporation’s records agree with the agreement. Directors’ resolutions approving the transfer usually belong in the minute book as well. If your minute book is behind, our resolution centre can bring it current.
