Annual Declarations

Corporations incorporated federally, in Ontario, and in Quebec are all required to file an annual return / declaration, so that the corporate registry is up to date. Failure to do so can result in the dissolution of your corporation. If there are no changes to your corporate information then you must file the annual declaration confirming this, however if you do have changes to report you can do them with your declaration.

This is not your income tax return—it’s a requirement under corporate law.

If your corporation does not file its annual returns, the government may assume it is no longer operational and take steps to dissolve it, legally ending its existence. This can result in serious consequences, including the loss of legal capacity to conduct business. This can be a costly mistake for your corporation.

Additionally, a company must prepare certain resolutions to approve the financial statements of the company, confirm the officers and directors, appoint or waive the auditor, and confirm certain acts the company accomplished during the year. We strongly recommend the purchase of your Annual Meeting resolutions along with the Annual Declaration.
