  • Required for every Quebec (QBCA) corporation listed as “active”, meaning it has not been dissolved, discontinued or amalgamated.
  • This is not your income-tax return. It is a corporate-law requirement, separate from anything you file with the CRA.
  • The deadline is within 60 days after your corporation’s anniversary date, the date it was incorporated, amalgamated or continued under the QBCA.
  • You do not file a declaration for the year your corporation was incorporated, amalgamated or continued.

Quebec annual declaration FAQ

Is the annual declaration the same as my tax return?

No. The annual declaration is a corporate-law filing that keeps your corporation on the Quebec enterprise register as active. Your income-tax return is a separate filing with the CRA and Revenu Québec. Filing one does not satisfy the other.

When is my deadline?

Within 60 days after your corporation’s anniversary date, which is the date it was incorporated, amalgamated or continued under the Quebec Business Corporations Act. We confirm your date when you order and file against it, so you do not have to work it out from the registry record.

What happens if I don’t file?

The registry does not chase you. If declarations stop arriving, the Registraire des entreprises may assume the corporation is no longer operating and take steps to dissolve it, legally ending its existence and its capacity to carry on business. It is usually a bank, client or buyer who discovers the problem first. Reviving a dissolved corporation costs considerably more than filing on time.

I am behind several years. Can you catch me up?

Yes. Select each outstanding year on the order form and we file them together. Any government dues or late penalties owed to the Registraire des entreprises are confirmed and invoiced separately before filing, so you see the real total before anything is submitted.

Do I need to file for the year I incorporated?

No. There is no annual declaration for the year your corporation was incorporated, amalgamated or continued. Your first declaration is due after the first anniversary of that date.
