Is a minute book mandatory?

Yes. Every federal corporation is required to keep one, and it is the first thing requested during financing, an audit or due diligence. Most owners discover the requirement when a bank or accountant asks to see it.

Traditional vs. digital, which should I choose?

The contents are identical. A traditional minute book is the bound binder, shipped to you, with tabbed sections and room to file signed originals, the format many accountants and lawyers prefer to work from. A digital minute book is a personalized PDF delivered by email, which is what most owners now choose.

What goes in a minute book?

Your articles and certificate of incorporation, the by-laws, registers of directors, officers and shareholders, share certificates and the share transfer register, and the minutes and resolutions recording decisions taken at organizational and annual meetings.
