Annual Declaration – Quebec

Every corporation in Québec that is governed by the Québec Business Corporations Act is required to submit an annual return to the Quebec Corporate Registry Office each year.

You must file an annual return if your corporation is listed as “active” with the Québec Corporate Registry Office, meaning it has not been dissolved, discontinued, or amalgamated with another corporation.
This is not your income tax return—it’s a requirement under corporate law, separate from any obligations you may have with the Canada Revenue Agency (CRA).

The deadline to file the annual return is within 60 days after your corporation’s anniversary date, which is the date it was incorporated, amalgamated, or continued under the Québec Business Corporations Act. You do not need to file an annual return for the year your corporation was incorporated, amalgamated, or continued.

Failure to file the annual return may lead to the dissolution of your corporation. The Québec Corporate Registry Office is responsible for ensuring corporate information remains current. If your corporation does not file its annual returns, they may assume it is no longer operational and take steps to dissolve it, legally ending its existence. This can result in serious consequences, including the loss of legal capacity to conduct business.

Additionally, a company must prepare certain resolutions to approve the financial statements of the company, confirm the officers and directors, appoint or waive the auditor, and confirm certain acts the company accomplished during the year. We strongly recommend the purchase of your Annual Meeting resolutions along with the Annual Declaration.

Our fees do not include any owed government fees. If you are filing late or any fees are due to the Registraire des Entreprises they are not included in the fees below.
Any overdue fees or penalties will be invoiced separately prior to the filing.
In the event that no dues are payable this is because they will be added at income tax filing.
